These Terms of Use (“Terms”) govern your access to and use of the website, platform, products, services, tools, dashboards, applications, communications, and related services offered by Workafy Technologies Private Limited (“Workafy”, “we”, “us”, or “our”).

By accessing or using Workafy, creating an account, posting a job, applying to an opportunity, purchasing a plan, viewing candidate details, communicating through the platform, or otherwise using our services, you agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines published by Workafy from time to time.

If you do not agree with these Terms, you must not access or use Workafy.

1. About Workafy
Workafy is an India-first talent and hiring platform that enables employers, recruiters, companies, agencies, and business users to discover and connect with candidates, job-seekers, freelancers, consultants, and professionals across various skills, industries, and work formats.

Workafy may support full-time jobs, part-time jobs, freelance projects, contract roles, internships, remote opportunities, and other professional engagements.

Workafy acts as a technology platform and marketplace. Unless expressly agreed in writing, Workafy is not an employer, recruitment agency, staffing agency, placement agency, background verification agency, payroll provider, or party to any employment, freelance, or service contract entered into between users.

2. Eligibility
You may use Workafy only if you are legally competent to enter into a binding contract under applicable law.

By using Workafy, you represent and warrant that:
• You are at least 18 years of age, or are using the platform under the supervision and consent of a parent/legal guardian where permitted by law.
• You have the authority to accept these Terms.
• If you are using Workafy on behalf of a company, firm, agency, or other organisation, you are authorised to bind that entity to these Terms.
• The information you provide to Workafy is true, accurate, complete, and up to date.
• Your use of Workafy does not violate any applicable law, regulation, contract, or third-party right.

Workafy reserves the right to refuse registration, restrict access, suspend accounts, or terminate accounts at its discretion
where eligibility, authenticity, misuse, fraud, or policy violation concerns arise.

3. User Categories
Workafy may allow different types of users to access the platform, including but not limited to:
• Candidates / Job Seekers: users looking for jobs, freelance projects, internships, contract roles, or career opportunities.
• Freelancers / Professionals: users offering skills, services, or project-based work.
• Employers / Recruiters / Companies: users posting jobs, searching profiles, shortlisting candidates, contacting talent, or purchasing hiring-related services.
• Agencies / Business Users: users hiring talent for their own business or for clients, subject to Workafy’s approval and policies.
• Administrators / Internal Users: authorised Workafy team members or service providers managing platform operations.
Workafy may provide different features, dashboards, access levels, plans, limits, and permissions to different user categories.

4. Account Registration and Security
To access certain features, you may be required to create an account on Workafy. You agree to:
• Provide accurate and complete registration information.
• Keep your login credentials confidential.
• Not share your account, password, OTP, login link, or access credentials with any unauthorised person.
• Immediately notify Workafy if you suspect unauthorised access to your account.
• Accept responsibility for all activity that occurs through your account.

Workafy will not be liable for any loss arising from unauthorised use of your account due to your failure to maintain account
security.

Workafy may require email verification, phone/WhatsApp verification, OTP verification, company verification, document
verification, or other checks at any stage.

5. Candidate and Freelancer Obligations
If you register as a candidate, job-seeker, freelancer, or professional, you agree that:
• Your profile, resume, skills, experience, education, portfolio, certifications, contact details, and other information must be accurate and truthful.
• You will not misrepresent your identity, qualifications, experience, employment history, salary, availability, work samples, or credentials.
• You will not upload fake resumes, copied portfolios, misleading certifications, unlawful content, or third-party confidential information.
• You will not apply to jobs in a spammy, automated, irrelevant, misleading, or abusive manner.
• You will not harass, threaten, abuse, mislead, or misuse contact details of employers, recruiters, companies, or Workafy users.
• You will not demand unlawful payments, deposits, advances, or benefits from employers or other users.
• You will not bypass Workafy’s processes where platform rules, subscription benefits, paid access, or communication controls apply.
• You are responsible for evaluating any job, employer, project, offer, payment, contract, or opportunity before accepting it.
Workafy does not guarantee employment, interview calls, job offers, freelance projects, payments from employers, salary outcomes, project success, or any specific career result.

6. Employer, Recruiter, and Company Obligations
If you register as an employer, recruiter, company, agency, or business user, you agree that:
• You will provide accurate information about yourself, your company, your hiring requirements, and any jobs or projects posted on Workafy.
• You will post only genuine, lawful, and active hiring requirements.
• You will not post fake jobs, misleading jobs, expired jobs, pyramid schemes, commission-only scams, unlawful opportunities, adult content, discriminatory roles, or roles requiring illegal activity.
• You will not ask candidates to pay money, deposits, registration fees, training fees, equipment charges, security amounts, or any other unlawful or misleading charges in exchange for employment or opportunities.
• You will use candidate data, resumes, contact details, profiles, and other information only for legitimate hiring purposes.
• You will not sell, share, scrape, publish, misuse, spam, or commercially exploit candidate data outside the permitted use of Workafy.
• You will comply with all applicable employment, labour, tax, anti-discrimination, privacy, and data protection laws.
• You will not use Workafy to send unsolicited bulk messages, phishing messages, fake offers, fraudulent contracts, or misleading communications.
• You will not contact candidates for purposes unrelated to the job, project, or professional opportunity posted or discussed.
• You are responsible for verifying the suitability, identity, qualifications, references, background, and legal eligibility of any candidate before hiring.
Workafy may review, edit, hold, reject, deactivate, or remove job posts at any time for verification, quality, safety, legal, or policy
reasons.

7. Job Posts, Listings, and Platform Content
Workafy may allow employers to post jobs, projects, internships, contract roles, freelance requirements, company profiles, descriptions, salary ranges, images, logos, and other content.

You are solely responsible for the content you submit.

Workafy may, at its discretion:
• Review job posts before or after publication.
• Modify formatting, categories, titles, tags, or presentation for clarity and platform quality.
• Reject or remove low-quality, duplicate, misleading, suspicious, expired, unlawful, or non-compliant posts.
• Limit posting frequency, application visibility, contact unlocks, profile views, or other features to prevent spam and misuse.
• Add verification badges, review status, warnings, labels, or restrictions where required.
• Suspend or terminate accounts that post fraudulent, harmful, abusive, or illegal content.
Publication of a job or profile on Workafy does not mean Workafy endorses, verifies, guarantees, or accepts liability for that
listing, user, company, candidate, or opportunity.

8. Candidate Applications and Profile Access
Candidates may apply to jobs or opportunities through Workafy, subject to platform rules, eligibility, subscription limits, proposal limits, application limits, or other controls.

Employers may access candidate profiles, applications, resumes, and contact details depending on their plan, subscription, credits, permissions, or platform access.

Workafy may limit excessive applications, profile views, contact unlocks, messages, or automated usage to maintain platform quality and reduce spam.

Workafy does not guarantee that:
• A candidate will receive interview calls.
• An employer will receive suitable applicants.
• Any candidate will be hired.
• Any job will be filled.
• Any freelance project will be completed successfully.
• Any user will respond to another user’s communication.
• Any information submitted by a user is complete, accurate, or verified.

9. Payments, Plans, Credits, and Subscriptions
Workafy may offer paid plans, subscriptions, credits, profile unlocks, contact unlocks, featured listings, job posting packages, promotional services, or other paid features.

By purchasing any paid service, you agree to the pricing, validity, limits, usage rights, inclusions, exclusions, taxes, and billing terms displayed at the time of purchase or communicated by Workafy.

Unless stated otherwise:
• Paid plans are valid only for the period specified.
• Credits, job posts, profile views, contact unlocks, featured listings, or similar benefits may expire at the end of the plan validity.
• Unused credits or benefits may not be carried forward unless expressly permitted by Workafy.
• Workafy may revise pricing, plan benefits, limits, and features from time to time.
• Taxes, gateway charges, and other applicable charges may be added where applicable.
• Access to paid features may be suspended in case of failed payments, chargebacks, payment disputes, suspected fraud, or violation of these Terms.

Payments may be processed through third-party payment gateways or service providers. Workafy is not responsible for payment failures, banking delays, gateway downtime, card/network issues, UPI failures, settlement delays, or errors caused by third-party payment providers.

If payment is deducted but the relevant credits or plan benefits are not activated, users should contact Workafy support with the transaction reference.

10. Refunds and Cancellations
Refunds, if any, will be governed by Workafy’s Refund & Cancellation Policy, the specific plan terms, and applicable law.
Unless expressly stated otherwise, payments made for subscriptions, profile unlocks, contact unlocks, job posts, credits,
featured listings, promotional services, or used platform benefits are non-refundable.
Workafy may consider refund or credit adjustment requests in cases such as duplicate payment, technical failure, payment
captured without service activation, or other exceptional circumstances, at its discretion and subject to verification.
No refund will be provided for:
• Change of mind after purchase.

• Failure to use purchased credits or features within the validity period.
• Low response from candidates or employers.
• Inability to hire or get hired.
• Account suspension due to policy violation.
• Incorrect information provided by the user.
• Misuse or unauthorised sharing of account access.

11. Communication Consent
By creating an account or using Workafy, you consent to receive service-related, transactional, verification, support, promotional, and account-related communications from Workafy through email, phone calls, SMS, WhatsApp, platform notifications, or other communication channels.

These communications may include account verification messages, password reset emails, job alerts, hiring updates, payment and subscription notifications, support responses, product updates, offers, and security alerts.

You may opt out of promotional communications where available, but Workafy may still send essential transactional, security, legal, and account-related communications.

12. User Content and Licence to Workafy
Users may submit content including resumes, profiles, photographs, company logos, job descriptions, project requirements, portfolios, reviews, messages, documents, images, and other materials.

You retain ownership of your content. However, by submitting content to Workafy, you grant Workafy a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, process, modify for formatting, distribute, communicate, and use such content for operating, improving, marketing, moderating, and providing the platform and related services.

You represent that:
• You have the necessary rights to submit such content.
• Your content does not violate any law, contract, confidentiality obligation, intellectual property right, privacy right, or third-party right.
• Your content is not false, misleading, defamatory, obscene, hateful, discriminatory, abusive, fraudulent, or unlawful.

Workafy may remove or restrict content at any time if it violates these Terms or appears harmful, unlawful, misleading, low-
quality, or inappropriate.

13. Prohibited Activities
You agree not to:
• Use Workafy for any unlawful, fraudulent, misleading, harmful, or abusive purpose.
• Create fake accounts, duplicate accounts, bot accounts, or impersonation accounts.
• Misrepresent your identity, company, qualifications, hiring intent, or professional background.
• Post fake jobs, fake profiles, fake reviews, fake resumes, or misleading opportunities.
• Scrape, crawl, copy, extract, harvest, sell, or misuse data from Workafy.
• Use automated tools, bots, scripts, browser extensions, or software to access or manipulate Workafy without written permission.
• Upload viruses, malware, spyware, phishing links, harmful code, or malicious files.
• Attempt to hack, disrupt, overload, reverse-engineer, bypass, or compromise Workafy’s systems.
• Harass, abuse, threaten, stalk, defame, discriminate against, or exploit other users.
• Share candidate contact details, resumes, or personal data with unauthorised parties.
• Collect money from candidates in the name of jobs, interviews, training, background checks, or placement unless expressly lawful and disclosed.
• Promote adult services, gambling, illegal drugs, weapons, hate speech, political manipulation, financial scams, pyramid schemes, or unlawful activities.
• Use Workafy to send spam, bulk messages, irrelevant pitches, or unsolicited promotions.
• Circumvent Workafy’s paid features, subscription restrictions, contact unlocks, usage limits, or platform controls.
• Violate applicable laws, including privacy, labour, employment, taxation, intellectual property, consumer protection, and information technology laws.


14. Verification and Background Checks
Workafy may conduct limited checks, moderation, review, or verification of users, job posts, company details, documents, or platform activity.
However, unless expressly stated in writing, Workafy does not guarantee that any user, employer, candidate, company, job, resume, credential, salary, project, document, or claim has been fully verified.
Employers are responsible for conducting their own due diligence before hiring. Candidates are responsible for evaluating employers and opportunities before accepting offers.
Workafy may partner with third-party verification, background check, payment, communication, analytics, cloud, hosting, or support service providers. Use of such services may be subject to additional third-party terms.

15. No Guarantee of Employment, Hiring, or Results
Workafy does not guarantee:
• Employment, interviews, job offers, freelance projects, or income for candidates.
• Suitable candidates, successful hiring, employee retention, or project completion for employers.
• Accuracy, completeness, reliability, or availability of user-submitted content.
• Continuous, uninterrupted, error-free, or secure access to the platform.
• Any specific business, career, financial, hiring, or professional outcome.
All hiring, employment, freelance, consulting, internship, or project arrangements are between the concerned users unless Workafy separately enters into a written agreement as a party.

16. Privacy and Data Protection
Your use of Workafy is also governed by our Privacy Policy.
By using Workafy, you agree that Workafy may collect, use, store, process, disclose, and protect your information in accordance with the Privacy Policy and applicable laws.
Employers, recruiters, and business users who access candidate data must use such data only for lawful and legitimate hiring purposes and must not misuse, sell, disclose, or process such data in violation of applicable law.

17. Platform Moderation and Compliance
Workafy may moderate, review, remove, restrict, disable, or preserve content and accounts where required for platform safety, policy enforcement, user protection, legal compliance, fraud prevention, or technical security.

Workafy may cooperate with law enforcement, courts, regulators, government authorities, payment providers, cybersecurity agencies, or other authorised bodies where legally required.

18. Intellectual Property
All rights, title, and interest in Workafy’s website, software, platform, design, technology, databases, trademarks, logos, brand assets, content, graphics, interfaces, features, workflows, and materials belong to Workafy or its licensors.

You may not copy, modify, reproduce, distribute, sell, license, reverse-engineer, scrape, frame, mirror, misuse, or create derivative works from Workafy’s platform, content, data, or intellectual property without prior written permission.

The name Workafy, the Workafy logo, and related brand assets may not be used without written permission from Workafy.

19. Third-Party Links and Services
Workafy may contain links, integrations, tools, payment gateways, social login services, maps, analytics tools, communication tools, or other third-party services.

Workafy is not responsible for the availability, reliability, security, accuracy, policies, content, fees, failures, or practices of third-party websites or services.
Your use of third-party services may be governed by their own terms and privacy policies.

20. Account Suspension and Termination
Workafy may suspend, restrict, deactivate, or terminate your account or access to the platform, with or without prior notice, if:


• You violate these Terms or any Workafy policy.
• You provide false, misleading, or incomplete information.
• You misuse candidate or employer data.
• You post fake, unlawful, fraudulent, abusive, or misleading content.
• You engage in spam, scraping, hacking, fraud, harassment, or unauthorised activity.
• Your conduct may harm users, Workafy, the platform, or third parties.
• Required by law, court order, government authority, payment partner, or security concern.

Upon termination, your right to use Workafy will cease immediately. Workafy may retain certain information where required for
legal, regulatory, fraud-prevention, dispute-resolution, tax, audit, or legitimate business purposes.

21. Disclaimer of Warranties
Workafy is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Workafy disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, availability, security, or uninterrupted operation.

Workafy does not warrant that the platform will be error-free, virus-free, secure, uninterrupted, or that defects will be corrected immediately.

22. Limitation of Liability
To the maximum extent permitted by law, Workafy, its directors, officers, employees, consultants, partners, vendors, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages arising out of or related to your use of Workafy.

This includes, but is not limited to, loss of data, loss of business, loss of opportunity, loss of employment, hiring failure, candidate mismatch, employer misconduct, project failure, payment disputes between users, unauthorised account access, third-party service failure, or platform downtime.

Where liability cannot be fully excluded under applicable law, Workafy’s aggregate liability shall be limited to the amount actually paid by you to Workafy for the specific service giving rise to the claim during the three months preceding the claim, or INR 5,000, whichever is lower.

23. Indemnity
You agree to indemnify, defend, and hold harmless Workafy, its directors, officers, employees, consultants, partners, vendors, affiliates, and agents from and against any claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:
• Your use or misuse of Workafy.
• Your violation of these Terms or any policy.
• Your violation of any law or third-party right.
• Any content, job post, profile, resume, document, message, or information submitted by you.
• Any employment, freelance, contractual, payment, tax, labour, or service dispute between you and another user.
• Misuse of candidate, employer, or platform data.
• Fraud, misrepresentation, negligence, or wilful misconduct by you.

24. Changes to the Platform and Terms
Workafy may modify, suspend, discontinue, or update any part of the platform, features, pricing, plans, limits, policies, or services at any time.

Workafy may update these Terms from time to time. The updated Terms will be posted on the website with a revised “Last Updated” date.

Your continued use of Workafy after the updated Terms are posted will constitute your acceptance of the revised Terms.

25. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to the dispute resolution clause below, the courts of New Delhi, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or your use of Workafy.

26. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of Workafy, the parties shall first attempt to resolve the matter amicably by contacting Workafy at support@workafy.com.

If the dispute is not resolved within 30 days, the dispute may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, India. The arbitration proceedings shall be conducted in English. The arbitral award shall be final and binding on the parties. Nothing in this clause shall prevent Workafy from seeking urgent injunctive, equitable, or interim relief from a court of competent jurisdiction.

28. Miscellaneous
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

Failure by Workafy to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without Workafy’s prior written consent. Workafy may assign or transfer its rights and obligations to an affiliate, successor, acquirer, or in connection with a merger, restructuring, or sale of assets.

These Terms, together with the Privacy Policy and other applicable policies, constitute the entire agreement between you and Workafy regarding your use of the platform.
